The specific features and functionality available to you depend on your subscription plan and service agreement.

3. User Accounts

To access certain features of our services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

4. Subscription and Payment

Access to our services requires a paid subscription. By subscribing, you agree to:

• Pay all fees associated with your subscription plan
• Authorize us to charge your designated payment method
• Be responsible for all applicable taxes
• Accept automatic renewal unless you cancel before the renewal date

We reserve the right to modify pricing with 30 days' notice. Price changes will take effect at the start of your next billing period.

5. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload or transmit viruses or malicious code
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of the services
• Engage in any activity that could harm our infrastructure

6. Data Ownership and Rights

You retain all rights to the data you input into our platform ("Your Data"). You grant us a limited license to use Your Data solely to provide and improve our services. We will not sell, share, or use Your Data for purposes unrelated to our services without your consent. You are responsible for ensuring you have the necessary rights to any data you upload to our platform.

7. Intellectual Property

Our services, including all software, designs, text, graphics, and other content, are owned by Cloud 9 ERP Solutions and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our services without our express written permission. Your use of our services does not grant you ownership of any intellectual property rights.

8. Service Level Agreement

We commit to providing 99.9% uptime for our services. Downtime for scheduled maintenance will be communicated in advance. In the event of service level breaches, eligible customers may receive service credits as outlined in their service agreement. This SLA does not apply to circumstances beyond our reasonable control.

9. Limitation of Liability

To the maximum extent permitted by law, Cloud 9 ERP Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claims arising from these Terms or your use of our services shall not exceed the amounts you paid to us in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Cloud 9 ERP Solutions, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

11. Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any breach of these Terms. Upon termination, your right to use the services will immediately cease. You may export Your Data within 30 days of termination, after which it may be deleted according to our data retention policies.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Stamford, Connecticut.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting a notice on our website or sending you an email. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.
